BY CREATING AN ACCOUNT OR ACCESSING THE SERVICE, YOU EXPRESSLY ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MAY NOT ACCESS OR USE THE SERVICE.
1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Ambrose Compliance LLC, a Wyoming limited liability company ("Company," "we," "us," or "our"), governing your access to and use of the Ambrose Compliance platform, including all associated software, tools, APIs, data, documentation, and services (collectively, the "Service").
Your access to the Service is conditioned upon your acceptance of and compliance with these Terms. By clicking "I Agree," creating an account, or otherwise accessing the Service, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety.
2. Description of Service
Ambrose Compliance provides AI-assisted regulatory intelligence tools for the flavor and fragrance industries. The Service includes compliance workflows, ingredient data, regulatory reference tools, document generation, formulation assistance, GC-MS analysis tools, and related functionality.
The Service provides informational and decision-support tools only. Ambrose Compliance does not provide legal, regulatory, or scientific advice. All outputs should be reviewed by qualified professionals before use in regulatory submissions, product labeling, or commercial decisions.
3. Ownership of the Service and Intellectual Property
3.1 Company Ownership
The Service — including without limitation all software, source code, object code, algorithms, databases, data structures, APIs, user interfaces, workflows, design elements, documentation, and all other technology underlying or comprising the Service — is the exclusive property of Ambrose Compliance LLC, a Wyoming limited liability company.
All intellectual property rights in and to the Service, including but not limited to copyrights, trade secrets, and proprietary rights, are owned solely and exclusively by Ambrose Compliance LLC. No rights in the Service are transferred to any user, partner, licensee, or third party by virtue of accessing or using the Service, entering into any commercial arrangement referencing the Service, or by any other means, except as expressly set forth in a written agreement signed by an authorized officer of Ambrose Compliance LLC.
3.2 Proprietary Technology
The Service incorporates proprietary and patent-pending technology developed exclusively by and for Ambrose Compliance LLC. All such technology, whether or not the subject of a pending or issued patent, constitutes the exclusive intellectual property of Ambrose Compliance LLC. No license to any proprietary method, process, algorithm, or technology embodied in the Service is granted to any user, partner, or third party through access to or use of the Service.
3.3 No Implied Rights
Nothing in these Terms, in any commercial arrangement referencing the Service, in any verbal representation, or in any prior course of dealing shall be construed to grant any user or third party any ownership interest, equity interest, license, or other right in or to the Service, its underlying technology, its source code, its databases, or any associated intellectual property, except as expressly stated in a duly executed written agreement signed by an authorized officer of Ambrose Compliance LLC.
3.4 User Acknowledgment
By accessing the Service, you expressly acknowledge and agree that:
- You have no ownership interest of any kind in the Service or its underlying technology.
- You have no claim to any source code, algorithm, database, or other intellectual property comprising or related to the Service.
- Any access granted to you is a limited, revocable license to use the Service as a user only, subject to these Terms.
- Your use of the Service does not create or evidence any partnership, joint venture, co-ownership, or equity relationship between you and Ambrose Compliance LLC.
3.5 Trademarks
"Ambrose Compliance" and all related marks, logos, and product names are trademarks of Ambrose Compliance LLC. You may not use these marks without our prior written consent.
4. Accounts and Access
To use certain features of the Service, you must create an account. You agree to:
- Provide accurate and complete registration information.
- Maintain the security of your account credentials.
- Promptly notify us of any unauthorized use of your account.
- Accept responsibility for all activities that occur under your account.
We may suspend or terminate your account at our sole discretion if we believe you have violated these Terms or are using the Service in a manner inconsistent with our policies or applicable law.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
- Attempt to gain unauthorized access to the Service, other accounts, or any systems connected to the Service.
- Interfere with or disrupt the integrity, security, or performance of the Service.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive, reconstruct, or replicate the source code, algorithms, data structures, or underlying logic of any component of the Service by any means, including but not limited to manual analysis, automated tools, or artificial intelligence systems.
- Use any automated system, software, tool, bot, scraper, crawler, AI model, or computer process to access, copy, monitor, extract, or replicate any data, content, functionality, or technology from the Service, or to create or attempt to create any derivative work, competing product, or functionally similar system based on the Service or any part thereof, whether or not such activity is for commercial purposes.
- Attempt to train, fine-tune, or otherwise use the Service or its outputs as input to any machine learning model, AI system, or automated process for the purpose of replicating, approximating, or deriving any functionality of the Service.
- Resell, sublicense, redistribute, or otherwise commercialize the Service or any data derived from it without authorization.
- Submit false, misleading, or fraudulent information.
- Represent to any third party that you own, co-own, or have any intellectual property rights in the Service or its underlying technology.
6. Service Monitoring and Activity Logging
Ambrose Compliance may monitor, record, and log user activity within the Service, including page navigation, feature usage, commands, form entries, mouse clicks, keystrokes, scroll behavior, uploads, downloads, IP address, device and browser metadata, timestamps, and session duration. Keystrokes entered into the Service are captured for fraud detection, security monitoring, compliance auditing, and audit-trail generation, excluding sensitive fields such as passwords, OAuth tokens, payment details, and API keys. Free-text input in non-sensitive fields may be captured. We use this information for security, fraud prevention, compliance auditing, service operation, dispute resolution, customer support, quality control, and protection of Ambrose Compliance LLC's legal rights.
By accessing or using the Service, you consent to this monitoring and acknowledge that you have no expectation of privacy in activity conducted within the Service, except as described in the Privacy Policy.
7. User Content
You retain ownership of any data, formulations, or documents you upload to or create through the Service ("User Content"). By using the Service, you grant Ambrose Compliance LLC a limited, non-exclusive license to process your User Content solely to provide and improve the Service. We will not share your proprietary formulations or confidential User Content with third parties except as required by law or as described in our Privacy Policy.
8. Feedback
If you provide suggestions, ideas, enhancement requests, recommendations, corrections, or other feedback regarding the Service ("Feedback"), you agree that Ambrose Compliance LLC may use, incorporate, modify, commercialize, and otherwise exploit such Feedback without restriction, attribution, or compensation to you, and that such Feedback does not create any ownership, license, confidentiality, or other rights in the Service.
9. API and Integration Usage
Access to the Ambrose Compliance API, plugins, and any third-party integrations is governed by these Terms and any additional terms provided at the time of access credential issuance. API usage is subject to rate limits and scope restrictions defined in your plan. We reserve the right to revoke API access for violations of these Terms or excessive usage that degrades service quality.
10. Data Accuracy and Disclaimers
The Service is provided on an "as is" and "as available" basis. While we strive to maintain accurate and current regulatory data, we make no warranties, express or implied, regarding:
- The accuracy, completeness, or timeliness of any regulatory data or compliance information.
- The suitability of any output for a particular regulatory jurisdiction or submission.
- Uninterrupted or error-free operation of the Service.
Regulatory landscapes change frequently. You are solely responsible for verifying all compliance determinations, citations, and generated documents against current regulatory requirements before relying on them.
11. Limitation of Liability
To the maximum extent permitted by applicable law, Ambrose Compliance LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of or inability to use the Service.
Our total aggregate liability for any claims arising from or related to the Service shall not exceed the total amount you paid to us in the twelve (12) months immediately preceding the claim.
12. Indemnification
You agree to indemnify, defend, and hold harmless Ambrose Compliance LLC, its members, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses including reasonable attorneys fees arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) any claim that you own or have any interest in the Service or its underlying intellectual property.
13. Subscription and Payment
Certain features of the Service require a paid subscription. By subscribing, you agree to pay all applicable fees as described in your selected plan. Subscriptions automatically renew unless cancelled before the renewal date. We reserve the right to modify pricing upon thirty (30) days written notice.
Refunds are evaluated on a case-by-case basis at our discretion.
14. Termination
Either party may terminate the service relationship at any time. You may close your account by contacting us at [email protected]. We may terminate or suspend your access immediately and without prior notice for conduct that we believe violates these Terms or is harmful to other users or the Service.
Upon termination, your right to use the Service ceases immediately. Sections 3, 6, 8, 10, 11, 12, and 15 survive termination.
15. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Wyoming, and you consent to personal jurisdiction in those courts.
16. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after any such changes constitutes your acceptance of the revised Terms.
17. Entire Agreement
These Terms, together with our Privacy Policy and any additional terms applicable to specific features of the Service, constitute the entire agreement between you and Ambrose Compliance LLC with respect to the Service and supersede all prior or contemporaneous understandings, whether written or oral, regarding the Service. No verbal representation, prior course of dealing, or informal communication shall modify or supplement these Terms.
